Venue Booking Agreement and Contract

This Venue Booking Agreement ("Agreement") is made and entered into as of , by and between:

Recitals:

WHEREAS, Party A owns and operates the venue located at 171 E Live Oak Ave Ste D, Arcadia, CA 91006 ("Venue");

WHEREAS, Party B desires to use the Venue for the purpose of filming ("Event") on the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereby agree as follows:

1. Event Details

1.1. Event Date and Time:

1.3. Venue Reservation:

  • The venue described in Attachment has been reserved for you for the date and time stipulated.
  • The hours assigned to your event include all set-up and all clean-up, including the set-up and clean-up of all subcontractors that you may use.
  • It is understood you will adhere to and follow the terms of this Agreement, and you will be responsible for any damage to the premises and site, including the behavior of your guests, invitees, agents, or sub-contractors resulting from your use of the venue.

2. Payment Terms

2.1. Rental Fee:

  • The total rental fee for the use of the Venue is $ ("Rental Fee").

2.2. Payment Schedule:

  • A non-refundable deposit of $ is due upon signing this Agreement.
  • The remaining balance of $ is due no later than three (3) weeks prior to your event unless otherwise agreed.

2.3. Security Deposit:

  • A security deposit of $ is required and will be refunded within days after the Event, provided no damages or additional costs are incurred.

2.4. Rental Fee Deposit:

  • Upon receipt of this contract, a rental fee deposit in the amount of $500.00 is due. Please send your signed Agreement and rental fee to: Arcane Cafe

  • The rental fee deposit is non-refundable and non-transferable.

3. Use of Venue

3.1. Access and Set-Up:

  • Party B is permitted to access the Venue from for set-up and preparation.

3.2. Clean-Up and Departure:

  • Party B must ensure the Venue is returned to its original condition by the reserved Date and End Time shown in 1.1.

3.3. Restrictions:

  • Party B shall comply with all Venue rules and regulations, including noise restrictions, maximum occupancy limits, and any other applicable local laws and ordinances.

3.4. Event Set-up Limitations:

  • All property belonging to Client, Client’s invitees, guests, agents, and sub-contractors, and all equipment shall be delivered, set up, and removed on the day of the event. Should the client need earlier access for set-up purposes, this can be arranged for an additional fee. The Client is ultimately responsible for property belonging to the Client’s invitees, guests, agents, and sub-contractors.
  • All Party A's venues are non-smoking facilities.
    • Nothing should be attached to the walls, fixtures, or ceiling.
    • No rice, rose petals, birdseed, confetti, tiki torches, or sparklers are allowed on the premises.
    • All decorations must be approved by the Events Manager ("Party A").

3.5. Caterers:

  • Outside food and drink are not allowed to be brought in. Prior arrangements for catering options must be obtained, and an additional fee will be applied.

3.6. Alcohol Control:

  • The managing and distribution of alcohol at your event is required to be performed by a licensed bartending company. The Party A's list of approved caterers can provide this service for you.
  • Although the bartending service will manage the distribution of alcohol, Party B is ultimately responsible for the safety of all its invitees, guests, agents, or sub-contractors, including the distribution and consumption of alcohol.
  • Client’s guests that appear to be thirty (30) years of age or under shall be carded by the bartending service, therefore, they must have either a valid driver's license or valid picture ID.

3.7. Security:

  • Party A, at their sole discretion, may mandate that additional security personnel are assigned to your event, which may involve additional fees over and above your facility rental fee.

3.8. Tobacco and Smoke-Free Venue:

  • Smoking, use of smokeless tobacco products, the use of unregulated nicotine products, and the use of electronic smoking devices are strictly prohibited on Party A's properties.

3.9. Clean Up:

  • Party B shall be responsible for returning the venue to the state that it was provided to them. All property belonging to Party B, Client, Client’s invitees, guests, agents, and sub-contractors shall be removed by the end of the rental period. All property remaining on the premises beyond the end of the rental agreement will be charged $200.00 per hour. Should the client need special consideration for the removal of property beyond the rental period, this can be arranged prior to the beginning of the event for an additional fee. Party A is not responsible for any property left behind by Party B, Client, Client’s guests, invitees, agents, and sub-contractors.
  • Party B is responsible for any and all damages to Party A’s venues and surrounding site.
  • Party A shall do a general clean-up of the venue at the conclusion of the event; however, it is the Party B’s responsibility to remove all decorations.

3.10. Content Restrictions:

  • All content created at the Venue must be appropriate for all ages. The following types of content are strictly forbidden:
    • Adult content, including but not limited to explicit sexual content, nudity, and pornographic material.
    • Content involving violence, including graphic depictions of physical violence, assault, or abuse.
    • Content promoting illegal activities, including drug use, underage drinking, or other unlawful behavior.
    • Content that is discriminatory or promotes hate speech, including content that discriminates or promotes violence against individuals or groups based on race, religion, gender, sexual orientation, nationality, disability, or any other protected characteristic.
    • Content that is defamatory or invasive of privacy, including unauthorized use of someone's likeness or private information.
    • Content that promotes self-harm or suicide.
    • Content involving gambling or betting.
    • Any other content that could reasonably be considered inappropriate or harmful to a general audience, including children.

4. Insurance and Liability

4.1. Insurance:

  • Party B must obtain and maintain comprehensive general liability insurance covering the Event, with Party A named as an additional insured.
  • Levels of Insurance Required:
    • Commercial Liability Insurance for a minimum of $1,000,000 per occurrence and $2,000,000 aggregate;
    • Auto Liability Insurance of $1,000,000 combined single limit (for vendors); and
    • Workers compensation plus $1,000,000 minimum employer’s liability limit (for vendors).
    • Naming “The Regents of the University of California” as additional insured is also required.
  • Client assumes full responsibility and liability for any and all damages to the Regents’ venue and surrounding site.

4.2. Liability:

  • Party B agrees to indemnify, defend, and hold harmless Party A from any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the Event, including but not limited to personal injury or property damage.

5. Force Majeure

5.1. Force Majeure:

  • Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, riots, natural disasters, governmental actions, or any other force majeure event. In such cases, the affected party shall notify the other party as soon as possible and the obligations of both parties shall be suspended for the duration of the force majeure event.

6. Exclusivity

6.1. Exclusivity:

  • Party B agrees not to collaborate with or work with any other maid café or entities that can be construed as maid cafe's for a period of 1 month following the Event without the prior written consent of Party A. 

7. Photos and Videos

7.1. Portfolio Use:

  • Party A reserves the right to take photos and videos during the Event. Party B grants Party A the right to use these photos and videos for portfolio purposes, including but not limited to marketing and promotional materials, website, and social media.

8. Confidentiality and Non-Disclosure

Confidential Information:

  • During the term of this Agreement, either party may disclose to the other party certain confidential and proprietary information ("Confidential Information"). Confidential Information includes, but is not limited to, any and all information related to the business, operations, products, services, customers, financials, technology, paperwork, business details, drawings, renderings, food preparation, food service, and other aspects relevant to Party A.

8.2. Obligations of Confidentiality:

  • The receiving party agrees to keep all Confidential Information in strict confidence and not to disclose it to any third party without the prior written consent of the disclosing party. The receiving party agrees to use the Confidential Information solely for the purpose of performing its obligations under this Agreement.

8.3. Exclusions:

  • Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party, (b) is already in the receiving party's possession without obligation of confidentiality, (c) is obtained by the receiving party from a third party without obligation of confidentiality, or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

8.4. Return of Confidential Information:

  • Upon termination of this Agreement or upon the disclosing party's request, the receiving party shall promptly return or destroy all materials containing Confidential Information and provide a written certification of such destruction.

9. Miscellaneous

9.1. Governing Law:

  • This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

9.2. Entire Agreement:

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.

9.3. Amendments:

  • Any amendments or modifications to this Agreement must be in writing in electronic mail (“e-mail”), fax, or signed. 

9.4. Severability:

  • If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

9.5. Waiver:

  • The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of such provision or of the right to enforce it in the future.

9.6. Counterparts:

  • This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
